1Parties to the Agreement

This Subcontractor Agreement ("Agreement") is entered into between Tilaka Creative LLC ("Contractor"), a Florida-based James Hardie siding installation company, and the undersigned subcontractor ("Subcontractor"). This Agreement governs all work performed by Subcontractor on behalf of Contractor for residential and commercial James Hardie product installation projects throughout Southwest Florida.

2Scope of Work

Subcontractor agrees to perform the following services as assigned by Contractor:

  • Installation of James Hardie fiber cement siding, trim, soffit, and fascia products
  • Preparation of work surfaces, including removal of existing materials when required
  • Compliance with all James Hardie installation guidelines and best practices
  • Adherence to project timelines, quality standards, and safety protocols
  • Cleanup and disposal of materials and debris from job sites
  • Other related tasks as mutually agreed upon in writing

3Payment Terms

Subcontractor shall be compensated according to the following terms:

  • Payment Structure: Payment rates will be agreed upon per project or on a per-square-foot basis prior to commencement of work
  • Invoicing: Subcontractor must submit itemized invoices within 7 days of project completion
  • Payment Schedule: Contractor will remit payment within 30 days of invoice receipt, subject to satisfactory completion and client approval
  • Withholding: Contractor reserves the right to withhold payment for incomplete, defective, or non-compliant work until corrections are made

3AInvoice Submission Requirements

To ensure timely and accurate processing, all invoices must be submitted through the official Tilaka Creative website portal. The following rules apply without exception:

  • Website Submission Only: Invoices must be submitted exclusively through the designated submission portal at tilakacreative.com/subcontractors
  • Text Messages Not Accepted: Invoices submitted via text message will not be recognized as valid and will not be processed for payment under any circumstances
  • Email Invoices Not Accepted: Invoices sent via email — regardless of recipient — will not be processed for payment until they are properly resubmitted through the website portal
  • No Exceptions: Verbal, handwritten, or informally communicated invoices will not be honored. Only website-submitted invoices will be entered into the payment queue

Important Notice

Invoices submitted by text or email will NOT be paid. All invoices must be properly submitted through the Tilaka Creative website portal to be eligible for payment. Subcontractor assumes full responsibility for ensuring invoices are submitted through the correct channel.

4Insurance and Licensing Requirements

Subcontractor must maintain the following at all times during the term of this Agreement:

  • General Liability Insurance: Minimum coverage of $1,000,000 per occurrence and $2,000,000 aggregate
  • Workers' Compensation Insurance: As required by Florida state law for all employees
  • Valid Florida Contractor License: Appropriate to the trade and scope of work being performed
  • Proof of Insurance: Subcontractor must provide current certificates of insurance naming Tilaka Creative LLC as an additional insured

Note: Failure to maintain required insurance and licensing may result in immediate termination of this Agreement.

5Independent Contractor Status

Subcontractor is an independent contractor and not an employee, partner, or agent of Contractor. Subcontractor is solely responsible for all taxes, withholdings, and other statutory obligations. Subcontractor has the right to control the manner and means of performing the work, provided it meets Contractor's quality standards and project specifications. Subcontractor may use their own tools, equipment, and crew members.

6Quality Standards and Warranty

Subcontractor agrees to:

  • Perform all work in a professional, workmanlike manner consistent with industry standards
  • Follow all James Hardie installation guidelines to ensure warranty compliance
  • Correct any defects or deficiencies identified by Contractor or the client at no additional cost
  • Warrant all work performed for a minimum of one (1) year from the date of project completion

6AInstallation Best Practices & Knowledge Acknowledgment

Because the quality of every installation directly affects product performance, warranty validity, and client satisfaction, Subcontractor must demonstrate familiarity with the applicable installation standards for all products they are assigned to install. This includes, but is not limited to, James Hardie® fiber cement products and any other trade-specific materials used on Tilaka Creative projects.

Subcontractor must have working knowledge of the following:

  • James Hardie® HZ10® climate-specific installation requirements for Southwest Florida
  • Proper nailing patterns, fastener types, and clearance requirements for all Hardie products
  • Z-flashing, joint gap, and moisture management best practices
  • HardiePlank®, HardiePanel®, HardieShingle®, HardieTrim®, and Hardie® Soffit installation guidelines
  • OSHA safety standards and PPE requirements for fiber cement cutting and installation
  • Trade-specific best practices applicable to any other materials assigned by Contractor

These acknowledgments are for informational purposes on this reference page. The binding agreement checkboxes are located on the subcontractor application form.

7Safety and Compliance

Subcontractor is responsible for maintaining a safe work environment and complying with all applicable federal, state, and local safety regulations, including OSHA standards. Subcontractor must ensure that all crew members use appropriate personal protective equipment (PPE) and follow safe work practices. Any accidents, injuries, or safety violations must be reported to Contractor immediately.

8Confidentiality

Subcontractor agrees to keep confidential all proprietary information, client lists, pricing structures, and business practices of Contractor. Subcontractor shall not solicit or perform work directly for any client of Contractor for a period of two (2) years following the termination of this Agreement.

9Termination

This Agreement may be terminated:

  • By Either Party: With 30 days' written notice
  • For Cause: Immediately by Contractor for breach of this Agreement, failure to maintain insurance/licensing, poor workmanship, safety violations, or unprofessional conduct
  • Upon Completion: Automatically upon completion of all assigned projects, unless renewed in writing

10Indemnification

Subcontractor agrees to indemnify, defend, and hold harmless Contractor from any and all claims, damages, losses, liabilities, and expenses (including attorney's fees) arising out of or resulting from Subcontractor's performance of work under this Agreement, including but not limited to personal injury, property damage, or breach of contract.

11Dispute Resolution

Any disputes arising under this Agreement shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings held in Sarasota County, Florida. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.

12Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

13Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral. Any modifications must be made in writing and signed by both parties.
